Preamble
The Platform is operated by KLEORIX LTD, a private limited company incorporated under the laws of Cyprus (registration no. HE 490271), with its registered address at Office 602, 6th floor, Apollo Court, 232 Arch. Makariou III Ave., Limassol, 3030, Cyprus.
By registering for or using the Platform, you agree to these Terms. These Terms form a legally binding agreement between you and KLEORIX LTD. If you do not agree to these Terms, you must not register for, access, or use the Platform.
1. Platform Operator
The Platform is owned and operated solely by KLEORIX LTD, a private limited company incorporated under the laws of the Republic of Cyprus. KLEORIX LTD is the sole contracting party under these Terms. All Subscriptions, invoices, and contractual obligations run exclusively between the User and KLEORIX LTD.
2. Eligibility and Registration
The Platform is a B2B service exclusively for legal entities and sole traders acting in a professional capacity. Consumer use is strictly prohibited.
Registration requires: company legal name, registered address, VAT/tax identification number (where applicable), authorised representative's name and contact details, and KYC documentation as requested by KLEORIX.
Users warrant that all registration information is accurate, complete, and up-to-date at all times. KLEORIX reserves the right to reject, suspend, or terminate any registration at its sole discretion.
Each organisation may maintain one company account on the Platform, which may be accessed by multiple authorised individual user accounts. Login credentials are personal and must not be shared, transferred, or reused by another person.
3. Subscriptions and Fees
Basic tier
KLEORIX offers a Basic tier of Platform access free of charge, with no Subscription Fee. The Basic tier is subject to such feature limitations as KLEORIX may specify from time to time. Access requires registration and completion of onboarding steps. Certain features may remain restricted until company verification is completed.
KLEORIX reserves the right to modify the features included in the Basic tier or to discontinue it on 30 days' written notice to affected Users.
Paid Subscriptions
Access to certain paid features requires an active paid Subscription. Tiers, pricing, and billing frequency are set out in the Order Form or as published on the Platform. All Fees are invoiced by and payable to KLEORIX LTD.
Payment terms: annual Subscriptions are invoiced in advance; monthly Subscriptions are billed on the first day of each billing period. Late payment: interest accrues on overdue amounts at 8% per annum above the European Central Bank reference rate.
KLEORIX may update pricing on 30 days' written notice. Refunds: no refunds are provided except as required by applicable law or as expressly stated in the Order Form.
VAT and taxes
Fees are stated exclusive of VAT and any other applicable taxes. Users established outside Cyprus: if you are a business established in an EU member state other than Cyprus, VAT is subject to the reverse charge mechanism. Cyprus VAT (currently 19%) will be added to all invoices for Cyprus-based users. Users established outside the EU: no VAT is charged by KLEORIX; users are responsible for any local taxes.
4. Additional Services
KLEORIX may provide additional services to Users upon request, including consulting, advisory, research, benchmarking, and market intelligence services. Additional Services are distinct from the Subscription and are provided on the basis of an individual Statement of Work (SOW).
Unless expressly agreed otherwise in the SOW, all intellectual property rights in deliverables vest in and remain the property of KLEORIX LTD. Upon full payment, KLEORIX grants the User a non-exclusive, non-transferable licence to use the deliverables for internal business purposes only.
Additional Services constitute advisory outputs only and do not constitute regulated professional advice. Users are responsible for independently verifying any information and for all decisions made on the basis of deliverables.
5. Platform Licence
Subject to these Terms, KLEORIX grants the User a limited, non-exclusive, non-transferable, non-sublicensable licence to access and use the Platform for the User's own internal business purposes in connection with the nuclear industry.
The User shall not: reverse engineer, decompile, disassemble, or copy the Platform; extract data by automated means beyond permitted API use; resell, sublicense, or commercialise access; or use the Platform for any purpose unrelated to nuclear industry procurement or supply-chain activities.
6. User Obligations
Users shall use the Platform in compliance with all applicable laws, including applicable export control, sanctions, and nuclear regulatory laws.
Users shall not upload or transmit Prohibited Content, defined as: false or misleading information; content violating applicable export control or sanctions regimes; content infringing third-party intellectual property rights; malicious code; content related to nuclear weapons or nuclear terrorism; and content that is defamatory, unlawful, or harmful.
Users are solely responsible for the accuracy and completeness of their Listings, Content, and profile information.
Users shall conduct their own due diligence on counterparties identified through the Platform. KLEORIX does not verify, endorse, or warrant the credentials, licences, quality certifications, regulatory approvals, or suitability of any User.
7. Supplier Listings
Suppliers may create Listings describing their products, services, capabilities, and certifications. Suppliers warrant that all Listing content is accurate, not misleading, and does not infringe any third-party rights.
KLEORIX may remove, suspend, or modify any Listing at any time without notice or liability. KLEORIX does not endorse, certify, or warrant any Supplier's capabilities, qualifications, nuclear industry licences, or fitness for any particular application.
8. Intellectual Property
All Intellectual Property Rights in and to the Platform — including the software, algorithms, databases, design, NucFinder brand and trademarks — are owned by KLEORIX LTD and are protected by applicable intellectual property laws.
Users retain ownership of User Data and Content they upload to the Platform. By uploading Content, the User grants KLEORIX a non-exclusive, royalty-free, worldwide licence to host, store, transmit, process, and display such Content as necessary to operate and provide the Platform.
9. Data Protection and Privacy
KLEORIX processes personal data of Users' authorised representatives in its capacity as data controller, governed by the KLEORIX Privacy Policy at www.nucfinder.com/privacy.
To the extent a User uploads User Data containing personal data, KLEORIX processes such data as a data processor. Users warrant that they have a valid legal basis for all Controller Data uploaded and have provided all required notices and obtained all required consents.
KLEORIX is established in Cyprus, an EU member state, and processes data within the EU/EEA by default. Where sub-processors are located outside the EU/EEA, KLEORIX ensures appropriate transfer mechanisms are in place in accordance with GDPR Chapter V.
10. Confidentiality
Each party shall keep the other's confidential information strictly confidential and shall not disclose it to any third party without prior written consent.
Users shall treat all information about other Users encountered through the Platform as strictly confidential and use it only for the purpose of legitimate nuclear industry transactions.
11. Disclaimers
THE PLATFORM IS PROVIDED "AS IS" AND "AS AVAILABLE". TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, KLEORIX MAKES NO WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.
KLEORIX DOES NOT WARRANT THAT THE PLATFORM WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE FROM VIRUSES; THAT ANY INFORMATION IS ACCURATE OR RELIABLE; OR THAT ANY SUPPLIER IS QUALIFIED OR SUITABLE FOR ANY PARTICULAR NUCLEAR APPLICATION.
THE PLATFORM IS A MARKETPLACE FACILITATOR ONLY. KLEORIX IS NOT A PARTY TO ANY TRANSACTION BETWEEN USERS AND HAS NO LIABILITY FOR SUCH TRANSACTIONS.
12. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, KLEORIX'S TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS IN ANY 12-MONTH PERIOD SHALL NOT EXCEED THE TOTAL FEES PAID BY THAT USER IN THAT SAME PERIOD.
KLEORIX SHALL NOT BE LIABLE FOR: LOSS OF PROFITS, REVENUE, OR ANTICIPATED SAVINGS; LOSS OF BUSINESS OR GOODWILL; LOSS OR CORRUPTION OF DATA; OR ANY INDIRECT, SPECIAL, INCIDENTAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES.
Nothing in these Terms shall exclude or limit KLEORIX's liability for fraud, death or personal injury caused by negligence, or any liability that cannot be excluded under applicable Cyprus law.
13. Indemnification
The User shall indemnify, defend, and hold harmless KLEORIX from any claim arising from: the User's breach of these Terms; the User's violation of any applicable law; inaccuracy of the User's Content or Listings; any transaction between the User and another User; or any third-party claim arising from the User's use of the Platform.
14. Service Availability
KLEORIX targets 99.5% monthly platform uptime, calculated excluding scheduled maintenance windows. Scheduled maintenance will be communicated at least 24 hours in advance where practicable.
KLEORIX is not liable for unavailability caused by the User's own systems, third-party infrastructure, force majeure events, or security incidents attributable to the User.
15. Nuclear Sector Compliance
Users are solely responsible for compliance with all applicable nuclear sector regulations, including IAEA safeguards, national nuclear regulatory approvals, export control regimes, and sanctions regimes.
The Platform is not a licensed nuclear facility and does not constitute any regulatory approval, certification, or endorsement.
Users shall not use the Platform in connection with any activity that violates applicable sanctions, export controls, or NPT obligations.
16. Term and Termination
These Terms commence on the date the User accepts them and continue until terminated. Either party may terminate for material breach not remedied within 15 days of written notice.
KLEORIX may suspend or terminate any Account immediately where the User repeatedly breaches these Terms, becomes insolvent, or as required by law or regulatory authority.
On termination, the User's licence is immediately revoked. KLEORIX will make reasonable efforts to make User Data available for export. Clauses on Intellectual Property, Confidentiality, Disclaimers, Limitation of Liability, Indemnification, Nuclear Sector Compliance, and Governing Law survive termination.
17. Amendments
KLEORIX may amend these Terms on 30 days' written notice to registered Users. Continued use after the effective date constitutes acceptance. If a User does not accept an amendment, it may terminate without penalty before the amendment's effective date.
18. Governing Law and Jurisdiction
These Terms shall be governed by and construed in accordance with the laws of the Republic of Cyprus. The parties irrevocably submit to the exclusive jurisdiction of the courts of Nicosia, Cyprus.
19. General Provisions
Entire agreement: These Terms, together with any Order Form and the Privacy Policy, constitute the entire agreement between KLEORIX and the User.
Severability: If any provision is invalid, the remaining provisions continue in full force.
Notices: Formal legal notices to KLEORIX shall be sent to Office 602, 6th floor, Apollo Court, 232 Arch. Makariou III Ave., Limassol, 3030, Cyprus, or to legal@nucfinder.com.
Assignment: Users may not assign their rights without KLEORIX's prior written consent. KLEORIX may assign to an affiliate or in connection with a business transfer.
Force majeure: Neither party is liable for failure to perform due to circumstances beyond its reasonable control.
Language: These Terms are in English. The English version prevails.
